Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Syndicate Gate platform operated by AI Syndicate (17232063 CANADA INC., "us", "we", "our"). By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not use our Service.

1. Acceptance of Terms

By creating an account, accessing, or using Syndicate Gate (including our website, API, dashboard, and documentation), you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all other policies referenced herein. If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

Syndicate Gate is a runtime execution enforcement service that provides:

  • Identity validation before policy evaluation
  • Allow, deny, approval, and budget enforcement before provider execution
  • API key management with rate limits and spend controls
  • Audit logging and exportable enforcement evidence
  • Controlled routing to configured upstream AI providers after enforcement passes

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration & Security

To use Syndicate Gate, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the security of your account and API keys.
  • All activities that occur under your account.
  • Promptly notifying us of any unauthorized use or security breach.
  • Ensuring your use of the Service complies with these Terms.

API keys are generated for your account and must be treated as confidential. You are solely responsible for all usage and charges incurred through your API keys.

4. Acceptable Use Policy

You agree NOT to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights.
  • Generate, distribute, or process malicious content, malware, viruses, or harmful code.
  • Engage in automated scraping, bulk messaging, or spam generation.
  • Attempt to bypass, disable, or compromise any security controls or rate limiting.
  • Use the Service in a manner that exceeds reasonable usage parameters or causes harm to the Service or other users.
  • Resell, redistribute, or sublicense the Service without authorization.
  • Process content that violates the Acceptable Use Policies of upstream AI providers (OpenAI, Anthropic, Google, etc.).

We reserve the right to suspend or terminate accounts that violate this policy, at our sole discretion.

5. Third-Party Services & Providers

The Service integrates with third-party AI providers (collectively, "Providers"). Your use of these Providers through our Service is subject to:

  • The Provider's own terms of service and acceptable use policies.
  • The Provider's pricing, rate limits, and usage policies.
  • Any content restrictions or guidelines imposed by the Provider.

We act as an intermediary and are not responsible for the outputs, availability, or policies of any Provider. Any disputes arising from Provider interactions should be directed to the respective Provider.

6. Billing & Payment

Certain features of Syndicate Gate are provided free of charge, while others require payment. Key billing terms include:

  • Pricing: Usage-based pricing calculated per token (input and output) for each provider. Pricing is available on our pricing page and is subject to change with 30 days' notice.
  • Prepaid Credits: Users may prepay credits to use the Service. Unused credits expire after 12 months from purchase.
  • Payment Terms: For post-paid accounts, payment is due within 30 days of invoice date. Failure to pay may result in service suspension.
  • Billing Disputes: Disputes must be submitted in writing within 15 days of the invoice date.
  • Taxes: All prices are exclusive of applicable taxes. You are responsible for all taxes, duties, and levies.

7. Budget Management

Syndicate Gate provides budget enforcement features:

  • You may set API key-level spend limits (hourly, daily, monthly).
  • You may set rate limits (requests per minute, tokens per minute).
  • Budget enforcement is database-level; limits cannot be bypassed by client logic.
  • You are responsible for monitoring usage via the dashboard and setting appropriate alerts.

While we strive for 100% accuracy in budget enforcement, we do not guarantee that limits will never be exceeded due to technical circumstances (e.g., concurrent requests, edge cases).

8. Service Level Agreement (SLA)

For paid accounts, we commit to the following service levels:

  • Uptime: 99.9% availability (excluding scheduled maintenance and force majeure events).
  • Maintenance: We will provide at least 72 hours' notice for scheduled maintenance.
  • Support: Email support with 24-hour response time for paid accounts.
  • Credits: If uptime falls below 99.9% in any billing month, you may request a service credit of 10% of your monthly fee for each 1% below target, up to 30%.

This SLA does not apply to third-party Provider outages, force majeure events, or issues caused by your configuration.

9. Intellectual Property

Our Rights: Syndicate Gate, including all software, documentation, logos, and content, is owned by AI Syndicate and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written consent.

Your Data: You retain all ownership of your content, prompts, and data processed through the Service ("Your Data"). You grant us a limited license to process Your Data solely to provide the Service.

Feedback: If you provide suggestions, ideas, or feedback about the Service, we are free to use such feedback without obligation to you.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

WE DO NOT MAKE ANY REPRESENTATIONS ABOUT THE ACCURACY, RELIABILITY, OR QUALITY OF ANY OUTPUT GENERATED BY THIRD-PARTY AI PROVIDERS. YOU USE PROVIDERS AT YOUR OWN RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR USE OR INABILITY TO USE THE SERVICE.
  • ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR PERSONAL INFORMATION.
  • ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE.
  • ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED THROUGH OUR SERVICE.
  • ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT.
  • THIRD-PARTY PROVIDER OUTAGES OR POLICY CHANGES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless AI Syndicate, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any third-party rights.
  • Your content or data processed through the Service.

13. Termination

Either party may terminate this Agreement:

  • By You: At any time by deleting your account or ceasing to use the Service.
  • By Us: With 30 days' notice for any reason. With immediate effect for material breach or violation of acceptable use policies.

Upon termination, your right to use the Service ceases immediately. You may request deletion of your data within 30 days of termination by contacting support.

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law provisions.

Any disputes arising from these Terms shall first be resolved through good-faith negotiations. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Toronto, Ontario under the rules of the Canadian Arbitration Association. Judgment on the award may be entered in any court of competent jurisdiction.

15. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

17. Entire Agreement

These Terms constitute the entire agreement between you and AI Syndicate regarding the Service and supersede all prior agreements, representations, warranties, and understandings.
